Which Kroger and Albertsons stores would be sold to in Dallas, Texas?

The companies this week announced a list of 26 stores in the Dallas-Fort Worth area that would be sold to New Hampshire-based C&S Wholesale Grocers as part of the merger.

DALLAS — Grocery giants Kroger and Albertsons have already revealed plans to sell hundreds of stores across the country as part of their proposed merger, if federal regulators approve the deal.

We now know which stores will be affected in North Texas.

The companies this week announced a list of 26 stores in the Dallas-Fort Worth area that would be sold to New Hampshire-based C&S Wholesale Grocers as part of the merger.

Most of the stores to be sold would be Tom Thumb and Albertsons, though several would include Market Street locations. Kroger officials said in a statement that C&S “is committed to no store closures” as part of the deal and that all workers would remain employed. But the name under which each of the sold stores would operate has yet to be determined.

“The comprehensive divestiture plan with C&S is critical to delivering meaningful and measurable benefits to associates, customers and communities across America from our merger with Albertsons,” Kroger said in its statement. “C&S’s strong operational focus, combined with its experienced management team and financial resources, will position it to successfully operate the divested stores for years to come.”

Two other Texas stores would be sold as part of the merger: Randalls stores in Galveston and Houston.

The proposed plan would see 579 stores across the country sell to C&S, 166 more than Kroger and Albertsons had originally planned.

The proposed store sales are aimed at satisfying regulators at the Federal Trade Commission (FTC), which have closely scrutinized the merger between the two companies.

In fact, in February, the FTC filed a lawsuit to block the $24.6 billion merger between the grocery giants, saying the lack of competition would lead to higher grocery prices and lower wages for workers.

The FTC had said the companies’ initial plan to divest 413 stores to C&S was “inadequate” and would leave C&S with a hodgepodge of unconnected stores and brands, leaving it ill-equipped to compete with a combined Kroger and Albertsons.

What is C&S Wholesale Grocers?

C&S is a New Hampshire-based grocery wholesale company that operates warehouses and a number of stores, including the Piggly Wiggly brand in the Midwest and the Carolinas and Grand Union stores in New York City.

In September, the company announced that part of its agreement to purchase stores from Kroger and Albertsons included licensing rights to operate under the Albertsons brand in Arizona, California, Colorado and Wyoming.

It is not yet clear what form the Texas stores would be operated in, or whether they would be called C&S. WFAA has also reached out to C&S for more information.

C&S currently has three distribution centers in Texas, one in Coppell and two in Houston.
