While Elon Musk moves to reject a legal action by Tesla shareholders claiming that he failed his fiduciary tasks, Openai now pursues Musk and exhibited lies, which could help Tesla shareholders.
The cracks seem to be formed in the armor of Elon Musk lies.
Last year, Tesla investors continued Musk for violation of the trustee obligation and resource tunnels on the XAI Foundation, a private AI company under its control.
Musk had previously declared that Tesla would be a major player in AI and that AI products would be essential in the future of Tesla, but at the beginning of 2024, the CEO threatened not to build AI products in Tesla if he had no more control over the company by obtaining more shares.
He also redirected the Nvidia equipment acquired by Tesla towards Xai and hired Tesla employees to work at Xai.
In short, Tesla shareholders argue that Musk is in violation of its fiduciary tasks towards shareholders by creating a private enterprise which rivals directly with Tesla. The trial also cites similar problems with the acquisition by Musk de Twitter.
This week, the members of the Musk and Tesla board of directors, who are also defendants in the trial for not having arrested Musk, submitted a file to try to reject the trial (via Bloomberg):
The pursuit of shareholders by a group of pension funds and other investors “is long on the hyperbole but short of well -placed facts,” said members of the board of directors in a court file on Monday. “However, they cannot escape undeniable reality: Tesla has prospered under this board of directors and CEOs, offering astronomical yields to shareholders while advancing its mission to create a lasting abundance for all.”
It will probably take some time before the trial passes through the court, but in the meantime, the Tesla shareholders found a strong ally: Openai.
Musk has long tormented Openai with prosecution. The CEO of Tesla co -founded Openai as a non -profit organization in 2015 to develop an artificial general intelligence which contributes positively to humanity.
In early 2018, Musk resigned from Openai, citing “conflicts of interest with Tesla”.
At that time, Tesla’s CEO began to push the car manufacturer more and more towards self-clarification, which he often described as a “real world”, and the automaker began to compete for an AI talent with Openai.
While he was apparently on good terms with Openai after his departure, a few years later, he began to publicly criticize the organization for the transition to a limited objective model, which, according to them, was necessary because of the billions of dollars necessary to build the calculation training equipment to have an impact in the AI sector.
Musk even continued the company during the move and laughed several times publicly.
It has not been clear to what extent the legal actions have been serious since Musk even said that he would abandon the trial if Openai modified his name:

Openai defends herself with the release of certain emails that show that Musk has really agreed for years that the organization had to go to a for-profit model.
Now Openai has against Musk and has published more details than Musk has mistaken the audience for years.
He also explains his last movements to Tesla and Xai.
The effort of Musk’s AI has gone from Openai to Tesla in Xai
All the documents published by Openai as part of the counter-combination comb a much clearer image of Musk’s involvement with AI and the way it has evolved over the years.
I will start with a clear chronology to make it easier to understand.
- 2010: Musk has long been fascinated by AI and has become one of the most eminent technological voices warning of its dangers.
- 2015: Musk Cofonde Openia as a non -profit organization to try to create a safe act.
- 2017: Musk communicates in private to many people in Openai and the AI community that the company must move to a for -profit model and increase billions to succeed due to the cost of AI equipment.
- 2018: Musk tried to take control of Openai and merged it with Tesla, but it was rejected by the Openai board of directors, which finally took investments from Microsoft to start his for -profit arm, because he gave the organization more independence.
- 2018: Musk leaves Openai, citing a conflict of interest with Tesla.
- 2018-2022: Musk positions Tesla as “the world leader in AI”, hires a ton of AI talents and says Tesla “will play an important role in AG”.
- 2022: Musk sells tens of billions of dollars in Tesla shares, in part to buy an overpriced twitter.
- 2023: Shortly after the viral launch of the Openai chatgpt, Musk creates a new private company, XAI, to develop AI products and compete with Openai.
- 2024: A judge cancels the remuneration package of $ 55 billion in Tesla de Musk CEO, which would have increased its participation in Tesla where it was before buying Twitter.
- 2024: Musk threatens Tesla’s shareholders not to build AI products in Tesla unless he gets no more control (alias more actions).
- 2024: Musk hires Tesla employees for XAI and redirects AI training expeditions calculated from Tesla to Xai.
- 2024: Musk continues Openai to try to block its transition to a lucrative cap.
Openai has all receipts to prove it. I recommend reading all emails because they give an overview of Musk’s personality and the way he presents himself publicly against what he says in private.
Here are some of the strengths to prove the above chronology:
At the start of the Openai Foundation in 2015, it was proposed to be a non -profit organization linked to Y combinator, the company of Sam Altman at the time, and Musk already suggested making it a normal corp C:

OPENAI has shared numerous internal and SMS emails between the teams, Musk, and the executive assistant / future baby mom of Musk, Shivon Zilis, discussing the need for much more capital, which will require a transition to the for-profit goal.
In 2017, while Optai first configured a potential for -profit arm, Musk tried to take control by asking for privileged shares and a supermajeure:

Musk even filed a new service company, a legal legal structure which aims to generate profits while positively impacting society and / or the environment.

The director of Musk full -time money, Jared Birchall, is listed as the only director of the new company.
Openai rejected Musk’s proposal because it would have given him total control, but they insisted that they still wanted to work with him.
In early 2018, Musk changed his proposal to try to open the opening in Tesla:

This proposal also failed, because Openai said it was also an attempted musk to take control of total.
Musk then left Openai and concentrated his AI efforts on Tesla until he considerably reduces his participation in the company to buy Twitter on a whim.
Then he founded XAI to become his main effort as AI as a private company under his control while telling Tesla shareholders that the company was an “AI and a game of robotics”.
XAI recently absorbed X (Twitter), which resulted in a $ 125 billion company based on the invented evaluation of Musk.
Electrek taking
It is extremely revealing. This clearly shows that the main objective of Musk is to have a complete control over the AI.
He tried to take control of Openai, but could not make it work. He then tried to make him work with Tesla, but he messed up by abandoning a little control (I would say that he always has a firm outfit on public society) thanks to the acquisition of Twitter.
He panicked after Openai launched Chatgpt and launched XAI as a private company entirely under his control, devalting Tesla in the process – hence the current shareholders’ trial.
For years, Musk attacked Openai and lied to the public in the fact of not agreeing with the for -profit transition, while he had been pushing him from the very beginning. The only difference is that Optai was now a competitor of Tesla, then Xai.
I want to be clear here. Openai is not completely clean either. It is obviously owed to Musc something for the original financing of the company, but the emails also reveal that the organization has tried to give it actions and to reimburse it, but Musk refused.
His refusal is probably linked to his belief that he could do more damage by pursuing Openai.
It seems that Musk believes that he is a kind of super genius who deserves to be the one who controls a future potential act, and he was willing to lie and deceive his way to get there.
Even if his intentions are good, it is a frightening thought.
